MANILA, Philippines - Bell Telecommunications Philippines Inc. (BellTel), one of the phone units of diversified conglomerate San Miguel Corp. (SMC), is now a step closer to starting its cellular mobile operation.

This after regulators extended its permit to operate, which is vital to BellTel’s business plan whose goal is not only to give consumers a choice but to also provide competition to existing players.

The NTC, in its decision, took note of the remaining two cellular mobile telephone system (CMTS) players in the country following its October 2011 decision that approved Philippine Long Distance Telephone Co.’s (PLDT) acquisition of third-ranked cellular operator Digital Telecommunications Philippines from the Gokongwei group. The PLDT Group now corners about 70 percent of the mobile phone market with the remaining 30 percent held by Globe Telecom Inc.

“As a consequence thereof, the number of mobile operators was reduced to only two players. This has affected competition in the mobile market. Thus, there is a need for another mobile phone operator to enter the market immediately to improve competition,” said the NTC.

The NTC extended BellTel’s provisional authority (PA) to construct, operate, maintain a digital Personal Communications Network for three years or until March 5, 2015.

The permit, however, may be revoked if its five-year rollout plan is not immediately undertaken, said the NTC.

BellTel is expected to commercially launch its mobile phone service on June 13, 2013.  It was granted a five-year rollout period commencing January 2012 with commercial operations  expected to commence 18 months thereafter, or in June next year.

BellTel first received its PA in October 2007, which was valid until April 2009. The NTC later renewed the permit but the phone firm was not able to offer the service during the two-year period because it did not have the frequencies to offer such service. It was only in May 2011 when the NTC assigned BellTel CMTS frequencies in the 1710-1720 megahertz (MHz)-1805-1815 bandwidth for its mobile phone service.

The company is in the process of soliciting proposals from equipment and software vendors for the various components of its cellular network. “BellTel has requested pertinent information from equipment and software vendors on the components of its CMTS network. It is projected to then issue requests for proposals on the said network components, bid out and subsequently award the requisite contracts therefore, and thereby get its CMTS network rollout underway,” said BellTel.

The company said it is “almost finished with its organizational buildup and has nearly completed filling in all of its component departments.”

San Miguel Corporation (SMC) and business taipan Lucio Tan last night (April 3, 2012)

By Mary Ann Ll. Reyes (The Philippine Star) Updated April 03, 2012 12:00 AM Comments (0)

MANILA, Philippines - The board of directors of flag carrier Philippine Airlines (PAL) authorized yesterday company chairman Lucio Tan and vice-chairman Harry Tan to negotiate with potential investors for the sale of a stake in the company.

STAR sources revealed that the PAL board held a special meeting yesterday solely for the purpose of authorizing the company’s top two officials to proceed with the negotiations with San Miguel Corp. (SMC), which has offered to reportedly acquire a 46- percent stake in the carrier.

Sources also disclosed that while business tycoon Lucio Tan and SMC president Ramon Ang are close to clinching a deal, a number of issues are still being ironed out as of yesterday.

PAL is over 90 percent owned by publicly-listed PAL Holdings which, in turn, is controlled by Tan.

Tan has been in negotiations with Ang for sometime now but it was only yesterday that the former got the go-signal from the board to close a deal. The board reportedly discussed Ang’s offer yesterday.

PAL sources revealed that the sale of at least a 40 percent stake and assumption by the SMC group of management control of PAL will be finalized anytime now. As part of the proposed deal, Tan will retain majority ownership of PAL but the SMC group will be running it.

SMC earlier said that it was invited by Tan to participate and assist in the refleeting and modernization of PAL’s aircraft in preparation for the projected heavy influx of tourists in the coming years.

Due to lingering high fuel costs, PAL suffered a total comprehensive loss of $33.5 million for its fiscal year’s third quarter covering October to December 2011.

The flag carrier said total revenues dropped 3.8 percent to $386 million for the third quarter of 2011 compared to the same period in 2010.

Company officials pointed out that during the period PAL experienced weak passenger demand as well as declining cargo markets as the world economy struggled to recover.

While there were improvements in yields for both passenger and cargo compared to the same period last year, load factors lagged behind, the airline reported.

Total operating expenses amounted to $419.5 million, up by $34.8 million or nine percent over the same quarter in 2010. Jet fuel costs continued to put pressure on the airline’s bottom line as fuel prices rose to $129.75 per barrel in the third quarter from an average of $100.96 per barrel in the same period the previous year.

PAL recently completed the outsourcing of its non -core businesses, a move necessitated by its desire to reduce and rationalize costs. As the airline goes through its last quarter of fiscal year 2011-12, it continues to seek ways of enhancing revenues and lowering costs, officials emphasized.

Ayala to spend P5 B for more Cebu developments in 2011

CEBU CITY -- Ayala Corp. units plan to launch P5-billion worth of projects here this year to enhance its twin business districts in the city, officials said on Friday.
More residential and office buildings for the business process outsourcing (BPO) sector will rise at both the 50-hectare Cebu Business Park -- the flagship project of Ayala Land, Inc. affiliate Cebu Holdings, Inc. -- and the 23-hectare Asiatown IT Park, which was developed by Cebu Holdings subsidiary Cebu Property Ventures and Development Corp., the officials said.

Ayala Land President Antonino T. Aquino said they were encouraged by the high take-up rate for the products that they introduced last year.

"Last year, we introduced projects with an aggregate value of P5 billion. You will see the same level of commitment this year. We will also introduce approximately P5 billion worth of projects in the same area," Mr. Aquino said in a press briefing after the Cebu Holdings stockholders’ meeting.

He did not specify the projects that will be launched this year, but stressed that Ayala Land will continue to enhance both Cebu Business Park and Asiatown to maintain their position as Cebu’s prime business district.

Another project is the development of a two-hectare expansion area for Asiatown, said Cebu Holdings and Cebu Property Ventures President Francis O. Monera.

"We’re about to sign up for the joint venture development of a two-hectare property. This will be a residential hub to complete the concept of live, work and play at Asiatown," Mr. Monera said.

Development of the two-hectare property is targeted to start within this year or early next year, he added. This will come on the heels of the completion of eBloc Tower 2, a BPO building within the five-hectare phase 2 development of Asiatown. The 16-storey structure will provide an additional leasable space of 26,500 square meters for BPO and IT companies.

"We are talking with several potential locators. Some already have presence in Cebu and there are also some that are new," Mr. Monera added.

eBloc Tower 2 is the second project of Asian I-Office Properties, Inc., a special purpose vehicle created by Cebu Property Ventures and Ayala Land Corporate Business Group. eBloc Tower 1 was completed in 2009 and has been fully leased to JP Morgan Chase Bank and NCR Cebu Development Center.

An ongoing Ayala project at Asiatown is the P1.5-billion Avida Towers Cebu, which is being undertaken also through Asian I-Office. Each tower will have 500 residential units.

At the Cebu Business Park, Cebu Holdings has started the expansion of the Ayala Center Cebu to complete its circular design and provide an additional 36,000 square meters of leasable space. Ayala Land, meanwhile, is constructing the Sedona Parc under the Alveo brand and 1016 Residences under the Ayala Land Premier brand. -- Marties S. Villamor

SMC completes $1-B offer
SUNDAY, 01 MAY 2011 17:35    MIGUEL R. CAMUS
CONGLOMERATE San Miguel Corp. (SMC) and its controlling shareholder have completed a common share and exchangeable bond sale that raised close to $1 billion, deal arrangers said as the offer period officially ended on Friday.
Excess demand from the equity component has given rise to potential shares changing hands ahead of the lifting of SMC’s trading suspension on May 5, based on interviews with investors and traders.

SMC concluded last week the equity portion of the fundraising measure.

The domestic share sale, including overallotments, raised about $150 million, said Eduardo Francisco, president of BDO Capital and Investment Corp., one of bookrunners, in a phone interview.

The domestic offering was composed of 31.52 million common shares with an option to sell another 27.58 million shares at the offer price of P110 each to cover excess demand.

An international bookrunner on Friday likewise confirmed that a 10-percent overallotment option was exercised during the overseas share offer allowing them to raise over $270 million from selling 86.68 million common shares.

This comes on top of $600 million worth of bonds convertible into SMC treasury shares sold to international investors before the Easter holidays.

Francisco reiterated that the domestic oversubscription of at least two times was due to the “attractive” pricing of the shares at P110 each, or a 28-percent discount to SMC’s last traded price of P153 per share.

Reports of oversubscription among individual domestic stock brokerage firms were disproportionately larger, with some claiming that demand exceeded seven times their allotment.

About 134 active trading participants of the Philippine Stock Exchange were entitled to 55,000 shares each or a combined 7.37 million shares representing 23 percent of the base domestic offering.

Market watchers have likewise noted that higher-than-anticipated demand may prompt some investors who availed of the offering to part with their shares and lock in profits ahead of the lifting of SMC’s trading suspension.

At least two traders have said the current prevailing over-the-counter (OTC) price of SMC shares range from  P118 to P120, implying a 7-percent premium to the offer price at the lower end.

“I don’t think the market right now is expecting San Miguel to open at [P153], but we think it will open over P120,” a trader said, when asked to explain the OTC price. One investor, who also declined to be named, likewise confirmed the aforementioned range.

SMC said in its prospectus that it will use P22 billion from the proceeds to fund investments in infrastructure, such as power, railways, telecommunications and mining while controlling stockholder Top Frontier Investment Holdings Inc. will use net proceeds from the sale to repay shareholder advances.

Credit Suisse Group AG and Standard Chartered Plc. were hired as global coordinators for the bond and share sales, the statement said. Goldman Sachs Group Inc., UBS AG, Daiwa Capital Markets, ATR Kim Eng Financial Corp., BDO Capital and SB Capital Investment Corp. were hired to help manage the offer.

SMC shares have been placed under a trading suspension since April 13â€"a week ahead of scheduleâ€"to deter speculative price movements.

TO PRESIDENT-ELECT SEN. BENIGNO SIMEON "NOYNOY" C. AQUINO III

Dear Mr. Aquino:

For what this is worth, I would like to congratulate you for clearly receiving the mandate to lead the republic for the next six years. Even though I may have been (and I still am) one of your most ardent critics online and in the real world, I am very much willing to give you a chance to prove yourself and to prove us critics wrong about you. I appeal that you stand up to the claims you made during the campaign and deliver all of the promises for which more or less 40 percent of the electorate voted for you.

Sen. Aquino, or allow me to call you President-elect Aquino if you may, please prove us critics wrong by showing that you are going to put an end to the long-standing Hacienda Luisita issue by finally having the lands distributed to the poor farmers who have long been claiming for their law-given rights. Your relatives have apparently declared that they will abide by whatever decision you make on the HLI, and as president starting July 1, 2010, please deliver the promise you made sometime in December 2009 that you will ensure that the long-disputed lands will finally be distributed by 2014.

Please don't go saying now that you will leave everything up to Congress and to the courts to settle that issue, just as you recently did during the press conference you held in HL a day after the elections. You were a congressman for 3 terms but never did anything to finally settle that issue, what makes you think that simply leaving everything up to Congress will solve everything?

In December last year you categorically promised that whether you win or lose, you will see to it that the HL lands will be distributed by 2014, so please don't say that the matter is still in court so you can't have any real say in the issue. You claim to have the convincing power over your relatives, why not convince them now to withdraw the motion they filed in court against the PARC recommendation to enforce land distribution in 2005?

President-elect Aquino, I also appeal that you please recant your pronouncement of a power-sharing scheme with your vice president. Saying that you will share from 50 up to 80 percent of the president's responsibilities to your vice president is virtually saying that you can only do from 50 down to 20 percent of the presidential obligations. You ran for the presidency, you should have been ready to bear 100 percent of the burden of responsibilities that come along with the seat of power. Asking for help and guidance from others in your performance of your job is one thing; sharing much of your job for others to perform is different, and outright irresponsible. Even though you may claim to be a "people's president", prove that you are your own man and that you can bear all of the burden you chose to bear.

I also appeal that you prove that the people, especially the TRAPOs, around and behind your candidacy and campaign did not support you because they wanted a piece of your pie. You have been criticized for having some of the exact same people in one form or another of Pres. Gloria Macapagal-Arroyo's administrative team, people who chose to turn their back on the administration when the opportunity for convenience presented itself. Prove that you're not going to compose a cabinet that is highly reminiscent of that of the "evil" administration you've been strongly criticizing. Your pronouncement of placing Ms. Dinky Soliman back in DSWD is starting to prove some of our criticisms to be correct, so I suggest you think things over. There is still much time. Prove that you are not going to be beholden to and be dictated upon by the people who goaded you to run for the highest post in the land.

I do hope that you measure up to your claim/promise that there will be no corruption in our society during your term. One of your slogans is "Kapag walang corrupt, walang mahirap", implying that to ensure that poverty in our society is solved, you are going to ensure that corruption in the society will be eradicated. No more lip service, please. I may not have any doubts on your promise not to steal, but as I have pointed out many times, it is not enough for the sitting president not to steal. It may be something, but it is not enough. Corruption is not only equivalent to stealing from the public coffers. I have emphasized over and over again how it is impossible to eliminate corruption in our society, so I'm very much looking forward to how you and your administration are going to fulfill the heaviest (and most questionable) among your promises and claims.

I would also like to appeal to you, President-elect Aquino, to exercise temperance and to not be very sensitive against criticisms. As we have seen during the course of the campaign and in your press conferences, it would seem that you are even more onion-skinned than PGMA. You and your team even tend to dictate to the press what and what not to ask. Now that you are soon to be the one in the same shoes as PGMA, imagine how it would be to receive the brunt of all of the accusations and criticisms against the administration. And you might be thinking that the issues thrown against you during the campaign have been enough? Wait until you step inside the presidential office. I believe you will be able to relate to PGMA on what she has been going through these past 9 years. It may not even be impossible for you to sympathize with her once you're in the office. Expect, President-elect Aquino, that because of your and your party's participation in one of the
dirtiest mudslinging bouts in electoral campaign history, the rabid predators on the other side of the fence (with whom you had that mudslinging bout) will be more than ready to pounce on you and go for the jugular should you let your defenses down even for a split-second. Please don't think I'm being morbid about things, I'm just warning you of the harsh reality in the devil's playground -- that is Philippine traditional politics -- in which you chose to play along.

Lastly, I would like to ask of you, President-elect Aquino, to please stop your smoking habit by all means, especially in public. If you really want to set a good example to the people, you can start by complying to the provisions of the Clean Air Act. Besides, as a biologist I can assure you that smoking brings more harm than good (if there ever is any benefit) to your body. As president of the republic, your body is now not only yours to be concerned about; it is now also the concern of the people you're going to govern for the next 6 years. Hence, you need to keep yourself healthy if you want to make sure you survive, figuratively and literally, the next 6 years. You are also compromising the health of people around you when you smoke in public. Thus, I am appealing, as a concerned non-smoking citizen and as a concerned somebody who understands human physiology and health, that you stop your smoking habit.

Again, let me reiterate that even though I did not (and still do not) think highly of you as a presidential candidate, I am very much willing to give you, President-elect Aquino, a chance to prove yourself. Please do not disappoint the more or less 40 percent of the electorate who chose to trust you to lead this nation the way you promised to do. Please prove that you are more than merely being a person bearing a revered family name.

Thank you very much. MABUHAY ANG PILIPINAS!

Sincerely yours.

P.S.: I believe it will do you much good if you get some pointers from your cousin, Atty. Gibo Teodoro.

==========

TO EACH ONE OF THE MORE OR LESS 40 PERCENT OF THE ELECTORATE WHO VOTED FOR SEN. NOYNOY AQUINO

Dear friend:

For what this is worth, let me express my congratulations to Sen. Benigno Simeon "Noynoy" C. Aquino III for receiving the mandate to lead the republic for the next 6 years.

My friend, I am congratulating only Sen. Aquino and not you, for I am not yet about to concede that you have been right all along in choosing to support him. It will only be after 6 years that we will know if you really made the right choice or not, so please pardon me if I will not congratulate you at this point in time.

If I wrote or said anything that may have offended you as an ardent supporter of Sen. Aquino, I humbly apologize. But until my arguments against him are disproven, I will never take back any of what I wrote or said. Again, your candidate may have won the presidential election, but that does not mean that you made the right choice and we, the ones who did not vote for him, made the wrong choice. While you may invoke the adage "Vox populi, vox Dei" ("The voice of the people is the voice of God"), always bear in mind that popular sentiment is not always the right one, thus it is not always "the voice of God". Recall how the Jews unanimously chose to free the criminal Barrabas instead of Jesus Christ? That was the popular sentiment then, but it was not really the right choice if we were to talk about justice being properly served.

More or less 40 percent of the electorate, including you, have chosen to go for painkiller therapy, and I respect that and the fact that only a much smaller fraction of the electorate chose to go for a proper anti-cancer treatment under a competent oncologist. Nevertheless, I am very much willing to give Sen. Aquino a chance to prove himself and to prove his critics (including myself) wrong. He has all of 6 years to do so, I hope you, being a supporter of Sen. Aquino, will be more vigilant of his administration rather than of the opposition.

I hope you constantly remind President-elect Aquino of his claims and promises for which you chose to support him. Do not let him make any excuse not to fulfill any of his promises, or even justify for him should he fail to do deliver. Remember, it was he who chose to offer the electorate all those promises and claims, regardless if those promises and claims are realistic and doable or not, to convince you to support and vote for him.

Please do not let him or yourself justify his failure to deliver his promises by claiming that the Aquino presidency only "inherited" the many problems from the Arroyo administration. Remember how President-elect Aquino confidently promised to solve those many problems during the campaign period, so there should be no excuse for him not to be able to do so.

Always bear in mind how President-elect Aquino promised to finally resolve the Hacienda Luisita issue by ensuring complete land distribution by 2014. This issue has always been a point of contention between you Aquino supporters and us critics, and you have always answered debates by invoking that promise by President-elect Aquino, outright rejecting the validity of the arguments we have raised. Thus you and your fellow Aquino supporters should be the first to make sure that President-elect Aquino really owns up to his promises, including that concerning HLI.

Please make sure not to give us any reason to say "We told you so!" Again, be more vigilant of President-elect Aquino's administration than of the opposition.

Rest assured that, even though the presidential elections did not go the way I wanted it to be, I am willing to work for and be governed by President-elect Aquino. I have always believed that regardless of whoever is in power in Malacañang, I am still in charge of my own life and my own progress. Regardless of whoever is the president, I still have the capability to effect changes in my life, and in our society in my own little way.

I have always believed that A LEADER IS ONLY AS GOOD AS HIS PEOPLE and not the other way around.

MABUHAY ANG PILIPINAS!

Sincerely yours.

Elections in any country have a unique effect in the stock market. Generally either the market will barely move or will take a dip as stock market players await the results of an election.

This coming Monday, the Philippines will be having its elections. Just less than 48 hours to go and the Filipino people will decide who their next set of leaders will be. Analyst has been expecting the Philippine stock exchange to go down because of election jitters compounded by the problems that hounds the European Union because of the problems in Greece. However the market has been resilient with the Philippine stock exchange index shedding only about 150+ points so far from its highest since the start of the global financial crisis.

For value investors, the effect of elections is just another chance of buying undervalued stocks or stocks selling at a fair price. This is another chance to be greedy when everybody else is fearful.

We are all praying for a peaceful and generally smooth election this coming Monday as the entire nations tries its first ever automated elections. However let it be noted that whatever the results of the elections will be take note that it does not matter to us value investors.

If we have peaceful elections and the transition to a new leadership is smooth then stocks are said to kick off and the bull will start raging. This will be very beneficial for the stocks that value investors hold as the market will start to realize the true value of previously undervalued shares, raising their prices. This is in consonance with the famous Benjamin Graham mantra which says that “In the short run, the market is a voting machine. In the long run, it’s a weighing machine.” (Another way of saying, true value will in the long run be reflected in its stock price)

However what is worst for the market (Best for value investors) is the fact that they will start to over value stocks and start buying at prices that does not make business sense. Every Tom, Dick and Harry will then start joining the bandwagon and the index will reach unprecedented new heights. By that time, value investors become fearful because every else has become so greedy.

If we will have a not so peaceful elections and all the predictions of critics and prophecies of doomsday prophets come true (Which I pray will not happen not for stocks sakes but for the country’s sake) then stocks will come tumbling down. This then becomes an opportunity to buy wonderful businesses with durable competitive advantage and not only at fair prices but at fire sale prices! It’s time to be greedy as everybody else is fearful.

Either way whatever the scenario is the value investor always wins and sleeps soundly at night because he invest intelligently and always does it in a way that makes business sense.

Happy voting this Monday and remember to vote wisely !
